Confidential Disclosure Agreements (CDA/NDA) | Confidential Disclosure Agreements (CDAs), also known as Non-Disclosure Agreements (NDAs), are requested when two or more parties wish to enter into initial discussions about specific processes, methods or technology for the purpose of determining the potential for a future relationship. A CDA is a legal agreement which defines information that the parties wish to protect from dissemination and outlines restrictions on use. If it is determined that a CDA is necessary, the Principal Investigator can initiate the process by contacting the Office of Technology Transfer. Lehigh prefers to use its standard CDA (below), which has been vetted by Lehigh’s legal counsel and protects the needs and interests of both parties. The Vice President and Associate Vice Provost for Research and Graduate Studies is authorized to sign CDAs on behalf of Lehigh. No faculty or staff member should sign a CDA unless specifically instructed to do so by an ORSP representative. TEMPLATE: Confidential Disclosure Agreement If a company requires the use of its own terms and conditions, the Principal Investigator should submit the document and related information through LUCA for review. The Office of General Counsel negotiates all CDAs for Lehigh pertaining to disclosures for prospective work that involves Lehigh faculty, staff, or resources. |
Consulting Agreement | For activities outside of Lehigh, the University is not a party to consulting or non-disclosure agreements between faculty and external organizations. ORSP may provide feedback for the faculty member to use in their negotiation with the sponsor; however, ORSP neither negotiates nor authorizes consulting agreements on behalf of faculty members. Faculty are responsible for ensuring that they are in compliance with any Lehigh policies related to outside activities. |
Memorandum of Understanding (MOU) | A Memorandum of Understanding (MOU) is an agreement that specifies mutually agreed-upon expectations between two (or more) entities. These agreements can carry the same obligations as contracts, so researchers at Lehigh should not enter into such agreements without prior review by ORSP. |

Teaming Agreement | A Teaming Agreement is used when Lehigh and another party (or parties) wish to collaborate in producing a proposal in response to a solicitation. All parties agree in advance on how they will work together, disposition of intellectual property, research results, and terms that will apply if the award is made. Testing Services Agreement (TSA) | A Testing Services Agreement (TSA) is a contract that offers external companies and agencies the opportunity to capitalize on the occasional unused capacity of specialized services and facilities of Lehigh. These services and facilities include, but are not limited to, panels of trained subject-area experts, machine shops, and specialized scientific and analytic instrumentation. These services are driven by protocols and specifications normally established by the external organization and contain no experimental design.
